Terms of Service
These Terms of Service ("Terms") govern your access to and use of the MIF-CHECKOUT platform, marketing website, merchant dashboard, Liquid snippet, APIs and related services (collectively, the "Services"), operated by the site operator("the site operator", "we", "us"). By using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.
These Terms are published pursuant to Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
1. Eligibility
You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872. If you use the Services on behalf of a business, you warrant that you are authorised to bind that business.
2. Accounts & authentication
- Shoppers authenticate via OTP on their mobile number (delivered by MSG91 or via Google Firebase).
- Merchants authenticate via Google Sign-In, phone OTP, or the credentials issued to them.
- You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised use.
3. The MIF-CHECKOUT checkout
MIF-CHECKOUT provides a hosted checkout experience that a merchant embeds in their Shopify storefront via a Liquid snippet. When you (as a shopper) proceed to checkout, you leave the merchant's storefront and interact with a checkout page hosted by MIF-CHECKOUT. The merchant remains the seller of record; MIF-CHECKOUT is a technology intermediary and does not itself sell, ship, or return goods.
4. Payments
- Payments are collected through the merchant's configured payment gateway (PayU, PhonePe, etc.). MIF-CHECKOUT does not receive or hold customer funds.
- Cash-on-Delivery (COD) orders are subject to the merchant's COD policy, our anti-fraud rules, and the logistics partner's serviceability.
- All prices, taxes and shipping charges displayed at checkout are set by the merchant.
5. Refunds, cancellations & shipping
Order-level refunds, cancellations, exchanges and shipping are governed by the merchant's policies, which are shown on their storefront and, where applicable, at checkout. MIF-CHECKOUT's Refund & Cancellation Policy covers only fees paid by merchants to MIF-CHECKOUT.
6. Merchant obligations (B2B)
Where you are a merchant, you additionally agree that:
- You will publish and honour your own Privacy Policy, Terms, Refund Policy and Shipping Policy on your Shopify storefront.
- You will comply with the Consumer Protection (E-Commerce) Rules, 2020 and the DPDP Act, 2023 in your capacity as the seller and joint data controller.
- You will pay MIF-CHECKOUT's per-order platform fee as per the executed rate card. Invoices are raised monthly and are payable within 15 days.
- You will not use the Services for goods or services prohibited under Indian law (including but not limited to narcotic drugs, unregistered pharmaceuticals, weapons, or content violating the IT Act).
7. Prohibited use
You shall not:
- Reverse engineer, decompile or attempt to derive the source code of the Services.
- Interfere with, disrupt, or circumvent security features of the Services.
- Upload malware, spam, or content that is unlawful, defamatory, obscene or infringing.
- Use the Services to defraud shoppers or misrepresent goods/services.
- Scrape, harvest, or copy shopper data belonging to other merchants in the network.
8. Intellectual property
MIF-CHECKOUT, our logo, and the underlying software are our intellectual property. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services in accordance with these Terms. Nothing herein transfers ownership.
9. Suspension & termination
We may suspend or terminate your access to the Services with or without notice if: (i) you breach these Terms; (ii) required by law or regulator; (iii) your invoice is overdue by more than 15 days; or (iv) we reasonably suspect fraudulent activity. On termination, your right to use the Services ceases, but Sections 8, 10, 11, 12 and 13 survive.
10. Warranty disclaimer
The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted under Indian law, our aggregate liability arising out of or relating to the Services shall not exceed the amount of fees paid by the relevant merchant to MIF-CHECKOUT in the three (3) months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.
12. Indemnification
You agree to indemnify and hold harmless the site operator, its affiliates and their officers, directors and employees from any claim, damage or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of law, or your infringement of any third-party right.
13. Governing law & dispute resolution
These Terms are governed by the laws of India. Any dispute shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator seated at the registered office of the site operator. The competent courts at that seat shall have exclusive jurisdiction over matters not subject to arbitration.
14. Grievance Officer
For grievances under these Terms or under Rule 3(2) of the IT Rules 2021, contact our Grievance Officer as listed in the Grievance Redressal page.
15. Changes to these Terms
We may update these Terms from time to time. Continued use of the Services after an update constitutes acceptance of the new Terms. Material changes will be highlighted on this page with a new "Last updated" date.
